Terms & Conditions to Participate in a Smart Cities Council Inc. Event

The following Registration and Credentials Terms and Conditions ("Terms") apply to you and any party ("Participant"), you are registering for participation in any Smart Cities Council Inc. (‘SCC’) event (‘Event’) and such Participant's registration, attendance, participation, enrollment, and/or application for involvement in the Events, including but not limited to your purchase and/or possession of any Event entry material, such as badges, wristbands, tickets, passes, and giveaways ("Credentials"). By completing the registration process, and/or by obtaining your Credentials you agree to these Terms.

'Events include any meeting held at a third-party facility, examples including as a hotel, a government facility or a university facility. For purposes of liability waivers, the parties providing these facilities (including all affiliated parties) are also absolved of any liability for any reason or no reason when a Participant waives SCC's liability (these third-party facility providers are called 'Facility Providers.')

1 Refund and Attendance Policy. 

a) SCC may, in its sole discretion and at any time determined by SCC, cancel or refuse from any Participant the following: Credentials, purchases, and/or giveaways. SCC will not be responsible for any penalty, fee, loss, or expense that might result from such action. 
b) No refunds under any circumstances. All payments made to SCC are not refundable for any reason, including, but not limited to, failure to use SCC Credentials due to illness, acts of God, travel-related problems, acts of terrorism, loss of employment, duplicate purchase or SCC having to cancel because of any act of God including but not limited to, a regional endemics that in SCC's sole opinion, acting reasonably, puts SCC staff or Participants at risk. SCC will not issue refunds for Credentials that have been revoked.
c) Unused Credentials have no monetary value and cannot be credited to future years or events. SCC will not issue refunds or credits due to failure to redeem a discount coupon during the registration process. Discounted prices are based on the date payment is received in the SCC office.
d) Lost or stolen Credentials will not be replaced. In the event Credentials are lost or stolen, new Credentials will need to be purchased for a Participant's continued access to the Events, including showcases, parties and conference content.
e) SCC reserves the right to revoke a Credential for any reason in SCC's sole discretion (for example, if anyone other than the authorized individual tries to use a Credential). As noted in Section 1(a) above, SCC will not issue refunds for Credentials that have been revoked.
f) Limitations on Entry. SCC badges allow a badge holder to have priority entry but cannot guarantee admission to every SCC session. Event admission is subject to venue capacity and age restrictions in compliance with state and local laws. Age restrictions are specific to each venue.

2 License to use image. Photographs and/or audio/video recordings taken at the Events by SCC, or others on behalf of SCC, may include a Participant's image, name, voice and/or likeness. By attending and/or participating in the Events, each Participant hereby grants SCC's permission to use the Participant's photograph, image, likeness, voice and statements for any purpose, including but not limited to commercial purposes, without compensation or credit to the Participant, in all media now known or hereafter devised.

3 Revoking Credentials. SCC reserves the right, without refund, to revoke the Credentials of Participants whose conduct is deemed in breach of these Terms, inappropriate, disorderly, or offensive by SCC, affiliated third parties or the local authorities, each acting in their sole and unfettered discretion.

4 Authority. Each Participant represents and warrants to SCC that the Participant has full authority to complete this registration on each Participant's behalf, including full authority to make use of the credit card or debit card presented for payment.

5 Assumption of Risk. Each Participant understands that participating in the Events is voluntary and may involve certain risks of physical injury, exposure to known and unknown hazards, damage to property, and other damages or losses that may be sustained by a Participant. Each Participant assumes all risk of damages, property loss, and personal injury that may occur by participating in the Events. 

6 SCC Duty. Each Participant understands and agrees that SCC has no responsibility to provide policies or programs that are in addition to what is required by local law or regulation.

7 Other Provisions
1 Waiver and Special Damages. IN NO EVENT SHALL SCC OR ANY FACILITY PROVIDER BE LIABLE TO ANY PARTICIPANTS, OR ANY OTHER PERSON OR ENTITY FOR ANY PERSONAL INJURY OR DAMAGES TO PROPERTY, DAMAGES FOR LOSS OF BUSINESS PROFITS OR OTHER PECUNIARY LOSS, INCLUDING ANY DIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR SIMILAR DAMAGES, ARISING OUT OF ANY PARTICIPANT'S USE OF THE REGISTRATION, CREDENTIALS AND/OR PARTICIPATION IN THE EVENTS, EVEN IF SCC OR THE FACILITY PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES
2 Limitations. No action, regardless of form, arising under or relating to this Terms may be brought by a Participant more than one (1) year after the cause of action has accrued. 
3 Applicable Law and Forum. These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Virginia without regard to the conflicts of laws or principles thereof. Any action or suit related to and not barred by these Terms (including, e.g., a suit to compel arbitration or enforce an arbitration award, or for injunctive relief as permitted under these Terms) shall be brought in the state or federal courts sitting in Fairfax County, VA.
4 Compliance with Laws. All parties in the performance of this Terms, comply with all applicable federal, state and local laws and ordinances, including, but not limited to all rules and orders in effect on the date of an Event. 
5 Notices. Any notice or other communication required or permitted under this Terms shall be given in writing and delivered by (i) hand; or, by (ii) (iii) registered or certified mail, postage prepaid and return receipt requested.
6 Waiver. No waiver of any breach of any of the provisions of this Terms shall be deemed a waiver of any preceding or succeeding breach of the same or any other provisions hereof. No such waiver shall be effective unless in writing and then only to the extent expressly set forth in writing.
7 Entire Terms. This Terms constitutes the entire Terms between Participant and SCC and no Sponsorship Terms or other agreements supersedes a Participant’s participation in these Events. SCC reserves the right to make changes to the Terms at any time without notice to any Participant, so please check back and review the Terms from time to time. If any term or provision of the Terms shall be deemed invalid, illegal or unenforceable in any respect, such term or provision shall be deemed severable and shall not affect the validity and enforceability of any remaining term or provision.
8 Severability. If any provision of this Terms is invalid or unenforceable under any statute or rule of law, the provision is to that extent to be deemed omitted, and the remaining provisions shall not be affected in any way.
